Acceptance of Terms

By accessing and using the MarketArchitect website and services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you and MarketArchitect AG, a company registered in Austria under registration number FN618437a.

MarketArchitect provides professional consulting services specialising in the analysis, review, and selection guidance for Customer Relationship Management (CRM) systems within the education sector. Our services include but are not limited to:

• Market analysis and industry trend reports
• Implementation support and consulting services
• Training and educational workshops

All services are provided on a professional consulting basis and are subject to separate service agreements where applicable.

User Obligations

Payment Terms

Payment terms for our consulting services will be specified in separate service agreements. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. All prices are quoted in Euros (EUR) and exclude applicable taxes unless stated otherwise.

Late payment may result in suspension of services and may incur additional charges as permitted by Austrian law. We reserve the right to change our pricing with appropriate notice.

Limitation of Liability

To the fullest extent permitted by Austrian law, MarketArchitect AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claim arising from or relating to these Terms or our services shall not exceed the amount paid by you to MarketArchitect in the twelve (12) months preceding the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

Disclaimers

Our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will meet your specific requirements, be uninterrupted, timely, secure, or error-free. Any advice or information obtained from MarketArchitect does not create any warranty not expressly stated in these Terms.

While we strive to provide accurate and up-to-date information, we make no representations or warranties regarding the accuracy, completeness, or reliability of any content or recommendations provided through our services.

Indemnification

You agree to indemnify, defend, and hold harmless MarketArchitect AG, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Austria, and the parties hereby consent to personal jurisdiction and venue therein.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your use of our services at any time by ceasing to access our website and services. Upon termination, your right to use our services will cease immediately.

The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Force Majeure

MarketArchitect shall not be liable for any failure to perform its obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, disasters, strikes, or internet service provider failures.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services following any changes constitutes acceptance of the new Terms.

Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and MarketArchitect regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
